Section 1: Duties and Expectations

BOARD OF DIRECTORS MEMBERS

GENERAL DIRECTORS

  • Understand and demonstrate a commitment to the organization’s mission and programs
  • Keep up to date with issues and trends that affect the organization
  • Prepare for meetings by reading agendas, minutes, reports and other documentation required to actively participate in them
  • Attend meetings regularly
  • Contribute skills and knowledge by participating actively in meetings and committee work
  • Make inquiries when clarification or more information is needed
  • Understand and take interest in the organization’s financial affairs
  • Avoid any potential conflicts of interest
  • Understand and maintain confidentiality
  • Ensure the organization is complying with all legal and regulatory requirements

PRESIDENT

  • Along with the duties outlined for general board members, the President:
  • Serves as the Chair and chief volunteer of the organization
  • Establishes search and selection committee for the hiring of the Executive Director
  • Works with the Executive Director in achieving the organization’s mission
  • Provides leadership to the Board of Directors
  • Develops agendas for meetings with the Executive Director
  • Recommends to the board which committees are to be established
  • Seeks volunteers for committees and coordinates individual board member assignments
  • Serves ex officio as a member of committees and attends their meetings when needed
  • Ensures that board matters are handled properly, including committee functioning, recruitment of new board members, orientations, and meeting preparation
  • Discusses issues confronting the organization with the Executive Director
  • Reviews with the Executive Director any issues of concern to the board
  • Monitors financial planning and financial reports
  • Evaluates the performance of the Executive Director and the effectiveness of board members
  • Annually evaluates the performance of the organization in achieving its mission and objectives
  • Annually reviews matters of governance relating to board structure, role, and relationship to management

VICE PRESIDENT

  • Along with the duties outlined for general board members, the Vice President:
  • Serves in place as the President in the instance of absence
  • Reports to and works closely with the President to provide assistance
  • May be assigned to a special area of responsibility such as membership, media, personnel, annual event, etc.
  • Performs other duties as assigned by the President

TREASURER

  • Along with the duties outlined for general board members, the Treasurer:
  • Monitors the finances of the organization, including the board’s review of and action related to, financial responsibilities
  • Ensures appropriate financial reports are made available to the board
  • Works with the Executive Director to prepare and present the annual budget to the board for members’ approval
  • Works with the Executive Director on the development and board review of financial procedures and systems
  • Chairs the Finance Committee and prepares agendas for meetings
  • Works with the Executive Director to recommend changes to financial policy to the board
  • Assists in the selection of an auditor, if needed

SECRETARY

  • Along with the duties outlined for general board members, the Secretary:
  • Records, prepares and manages the minutes of board meetings
  • Maintains records of the board and ensures there is effective management of the organization’s records
  • Ensures minutes are distributed to members in a timely manner after each meeting
